Terms of Service — Funding Signals API

1. Agreement

By accessing or using the Funding Signals API (the "Service"), whether directly or through a marketplace (e.g. RapidAPI), you ("Customer") agree to these Terms of Service. If you do not agree, do not use the Service.

2. The Service

Funding Signals provides a REST API that surfaces companies which have recently raised capital — derived from public U.S. SEC EDGAR Form D filings and public funding-news sources — scored for lead quality and enriched with publicly available business information (company domain, industry, raise size, and generic role email addresses such as info@ or sales@).

3. Accounts, plans and payment

3.1 Access is provided under tiered subscription plans (Free, Starter, Pro). Plan limits (rate limits and daily request quotas) are shown at the point of subscription and enforced by the Service. 3.2 You may subscribe either directly (billed via Stripe) or through a third-party marketplace (e.g. RapidAPI). Where you subscribe via a marketplace, that marketplace handles billing and its terms also apply to the payment relationship; where you subscribe directly, Stripe processes the payment on the provider's behalf and Stripe's own terms apply to that transaction. 3.3 Fees are non-refundable except where required by law.

4. Acceptable use

You agree not to: - exceed, circumvent, or attempt to circumvent plan rate limits or quotas; - resell, sublicense, or redistribute the raw API responses as a competing data product without a separate written agreement; - use the data to send unsolicited communications in violation of applicable anti-spam laws (e.g. CAN-SPAM, GDPR/ePrivacy) — you are solely responsible for your own outreach compliance; - use the Service for any unlawful, harassing, or discriminatory purpose; - attempt to gain unauthorized access to the Service, its infrastructure, or other customers' data.

5. Data accuracy — no warranty

5.1 The data is derived from public filings and public websites and is provided "as is" and "as available". Company names, amounts, domains, and contact addresses are best-effort and may be incomplete, delayed, or inaccurate. 5.2 Funding Signals makes no warranty of accuracy, completeness, fitness for a particular purpose, or uninterrupted availability. You must independently verify any information before relying on it, especially before contacting a company.

6. Intellectual property

The underlying facts are public. The Service's scoring, enrichment, compilation, software, and presentation are the property of the provider. Your subscription grants a limited, non-exclusive, non-transferable right to use the API output for your internal business purposes and permitted outreach.

7. Limitation of liability

To the maximum extent permitted by law, the provider is not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of (or inability to use) the Service. The provider's total aggregate liability shall not exceed the fees you paid for the Service in the three (3) months preceding the claim.

8. Suspension and termination

The provider may suspend or terminate access for breach of these Terms, abuse, or non-payment. You may stop using the Service at any time by cancelling your subscription.

9. Changes

These Terms may be updated. Material changes will be reflected by the "Last updated" date; continued use after changes constitutes acceptance.

10. Governing law

These Terms are governed by the laws of the Republic of Cyprus, without regard to conflict-of-law rules. (Confirm with your lawyer / adjust to your registered entity.)
